We are looking for a Senior Associate to join our highly regarded Private Equity team in London. Having advised on over 30 deals with an aggregate value in excess of £1.5 billion over the last 12 months, the number and range of transactions we undertake sets us apart. This is a fantastic opportunity to join a well-respected team, known for having an entrepreneurial outlook and approach, and work on exciting deals both nationally and internationally.
Our Private Equity team provides advice throughout the investment lifecycle, from deal structuring to exit. We provide results-focused, legal advice in leading private equity and growth capital transactions and advise on all aspects of investments such as buy-outs, exits, growth capital, operational issues, like tax and employment, portfolio acquisitions, setting up new funds and structural issues.
Our practice approaches the market with three distinct offerings: our financial sponsor offering targets the private equity houses; our family office offering targets high net worth's and family offices; and or management advisory team works with management teams. Our financial sponsor clients include LDC, Foresight, Growth Capital Partners, Inflexion, H.I.G. Capital Europe, RJD Partners and Caledonia Unquoted Investments. We operate within key sectors such as digital business and financial services.

The team is led nationally by Alisdair Livingstone (partner) and in London by Mark Spinner (partner). Nationally the private equity team comprises 6 further partners, 3 Associate Directors, 5 Senior Associates and 5 Associates based across the UK. Advised the lead investor, Highland Capital Partners Europe (a dedicated European growth equity technology fund), on a $30m investment round into Social Point. Social Point is the third biggest game developer on the Facebook platform and is well-known for its titles Dragon City and Monster Legends.
Advised Alcuin Capital Partners on the disposal of portfolio company, Osprey Publishing, and on its investments into The Groucho Club and Lorega Limited.
Acted for the management team on the management buyout of leading independent provider of insurance to tenants, landlords and letting agents, Barbon Insurance, from Texas Pacific Group/Goldman Sachs funded by Carlyle.
Advised Synova Capital and Newco on the MBO of MK Test, provider of electrical test products to the aerospace, rail and oil and gas industries , on the MBO of tele-radiology business 4 Ways Healthcare Limited and the MBO of receivables software business Merit Software Limited.
Acting for Growth Capital Partners and management shareholders on the sale of leading travel company iglu.com to LDC and for the management shareholders reinvestment into the purchaser, iglufasnet.
Advised LDC on its investment to support the multi-million pound management buy-out of Ministry of Cake from food producer Greencore plc.
Advised the management team of LA Fitness in relation to its acquisition by Pure Gyms and for the management team of Kew Green Hotels on its acquisition by CTS Metropark.
Acting for Caledonia Unquoted Investments on its acquisition of the Gala Coral retail bingo business.
Technical skills and experience
The right candidate will have knowledge and experience of the full spectrum of Private Equity law which will have been gained at a well-respected City or National firm. Due to the nature of the work and the structure of the team, we are looking to a Senior Associate lawyer, although we will consider candidates with more or less experience.
