Role Profile

 

Position Title:                   Commercial Lawyer

Reporting to:                     CFO

Section:                              Finance Department

Key Purpose:                    

Support the achievement of business objectives by ensuring strong legal governance, implementation of a new legal structure and managing all legal work.  Provide legal advice to internal and external stakeholders on all risk, compliance, regulatory and legal matters.

 

Key Responsibilities:

  • Provide assistance with the integration of recently acquired assets
  • Partner with senior management and JP Morgan on legal issues relating to M&A and financing activities
  • Provide both legal and commercial advice in relation to contractual relationships impacting on the commercial activities of the company (e.g. PPAs, maintenance and operations agreements)
  • Implement commercial legal strategies for the business that are consistent with the long- term interests of the company
  • Identify legal and business risks and suggest practical and cost-effective mitigation measures
  • Develop and enhance the company’s ability to identify and understand contractual, commercial and legal risks and issues at an early stage and use best practice and cost effective solutions to consistently manage and resolve those risks and issues
  • Provide monthly KPI information to the senior management team, giving a clear overview of business performance in relation to all relevant legal, risk and compliance issues
  • Review health and safety documentation
  • Review and process insurance contracts
  • Provide legal assistance relating to the company’s property portfolio. This will involve liaison with specialist outside legal counsel
  • Manage outside counsel when required to achieve successful and cost-effective advice and support
  • Maintain an up-to-date and comprehensive knowledge of developments in relevant legislation and regulation and advise senior management and owners on the same.

 

Qualifications, Training & Professional Membership

  • Graduate and qualified solicitor

 

Preferred Experience

  • 8 to 10 years PQE experience including in-house experience gained either in relevant corporate or within a fund with responsibility for operating companies
  • Ideally experience in the renewables / power sector and must be familiar with PPAs.
  • Ideally should have experience in a business going through growth or a considerable period of change
  • Prior exposure to M&A / re-financing
  • Experienced dealing with multiple external legal counsels
  • Ideally experienced dealing with funders such as private equity and infrastructure funds
  • Strong contract drafting and negotiating skills
  • Strong relationship building and stakeholder management skills
  • Pragmatic attitude to the commercial handling of business risk
